HANDOVER OF BUSINESS OPERATIONS AND INBRENG SHARES
Post-legal merger, the Pelindo Organization restructuring took place to optimize the resources owned and increase added value, through the handover of business operations and inbreng shares. On December 21, 2021, the Meeting Minutes were signed concerning the handover of business operations and services from the parent company, PT Pelabuhan Indonesia (Persero) to four subholding in accordance with their respective business lines. Firstly, the handover of business operations and services to Subholding PT Pelindo Terminal Petikemas through the Meeting Minutes No. KS.01/21/12/1/LAUH/KMPR/PLND-21. Secondly, the handover of business operations and services to Subholding PT Pelindo Multi Terminal through the Meeting Minutes No. KS.01/21/12/2/LAUH/KMPR/PLND-21. Thirdly, the handover of business operations and services to Subholding PT Pelindo Maritime Services through the Meeting Minutes No. KS.01/22/12/1/LAUH/KMPR/PLND-21. Fourth, the transfer of business to PT Pelindo Solusi Logistik Subholding through Minutes No. KS.01/22/12/2/LAUH/KMPR/PLND-21.
On January 3, 2022, a subsidiary arrangement was carried out by transferring the shares (inbreng) owned by Pelindo in subsidiaries to the Subholding through a cluster arrangement, called the Container Cluster, Non-Container Cluster, and the Marine, Equipment and Port Services Cluster. The subsidiaries transferred (inbreng) into the Subholding clusters received approval from the Republic of Indonesia Ministry of SOEs on December 30, 2021 through Letter No. S-1048/MBU/12/2021, No. S-1049/MBU/12/2021, and No. S-1050/MBU/12/2021.
