Each participant of Board of Commissioners meeting must be involved in every decision-making process at the meeting. Therefore, meeting participants who are not present at the time the decision made, must be contacted to immediately return to the meeting process. If the contact is not successful, then the meeting participants are considered to have agreed to the meeting decision taken. The decisions of Board of Commissioners’ Meetings are made by deliberation for consensus, if no agreement is reached, the decisions are made by ordinary majority vote;
Each member of Board of Commissioners is entitled to cast 1 (one) vote and plus 1 (one) vote for the member of Board of Commissioners he/she represents. If the number of agree and disagree votes is the same, then the decision is the same as the opinion of the meeting chairman, with due regard to the provisions regarding accountability as regulated in the Company’s Articles of Association. Decision-making at the Board of Commissioners Meeting, except decision regarding an individual, is carried out by means of a closed election. A blank vote (abstain) is deemed to have approved the result of the meeting decision. Invalid votes are considered non- existent and are not counted in determining the number of votes cast at the meeting; and
The meeting decisions are compiled in the meeting decision sheet as an integral part of the minutes of the meeting. The minutes of the meeting must be signed by the meeting chairman and all members of Board of Commissioners present at the meeting
