STRUCTURE AND MECHANISM OF CORPORATE GOVERNANCE

Board of Directors stipulated the Board Manual of PT Pelabuhan Indonesia II (Persero) in the Decree of Board of Directors of PT Pelabuhan Indonesia (Persero). The Board Manual contains guidelines that outline matters relating to the working procedures of Board of Commissioners and Board of Directors as well as the process of functional relations between Board of Commissioners, Board of Directors, and between the two organs of the Company, to create good, professional, transparent, effective and efficient corporate governance.

 

The contents of the Board Manual of Board of Commissioners are described specifically in Chapter III, which includes:

2. Membership of Board of Commissioners;
3. Induction and Capability Improvement Program;
4. Ethics of Board of Commissioners;
5. Duties and Authorities of Board of Commissioners;
6. Obligations of Board of Commissioners;
7. Responsibilities of Board of Commissioners;
8. Rights of Board of Commissioners;
9. Principles of Board of Commissioners Decision Making of;
10. Supporting Organs of Board of Commissioners;
11. Performance Appraisal of Board of Commissioners; and
12. Criteria of Performance Evaluation of Board of Commissioners.
