STRUCTURE AND MECHANISM OF CORPORATE GOVERNANCE
- Annual report on the implementation of Nomination and Remuneration Committee's duties;
- Quarterly Report on the implementation of Nomination and Remuneration Committee's duties; and
- Reports on the implementation of each special duties of Nomination and Remuneration Committee.
- Nomination and Remuneration Committee is responsible for maintaining the confidentiality of Company documents, data and information.
NOMINATION AND REMUNERATION COMMITTEE AUTHORITIES
In carrying out its duties, Nomination and Remuneration Committee is authorized to:
- Reviewing, examining, analyzing and providing opinions and recommendations within the scope of their duties;
- Seek and obtain relevant (unrestricted access) information from the Management Information System (MIS), reports, as well as from each member of Board of Directors, employees or individuals or related sources; and
- Invite management to attend committee meetings.
NOMINATION AND REMUNERATION COMMITTEE CHARTER
In carrying out its duties and responsibilities, Pelindo's Nomination and Remuneration Committee refers to the Nomination and Remuneration Committee Charter of PT Pelabuhan Indonesia II (Persero) which was last stipulated by the Board of Commissioners through the Decree of Board of Commissioners No. 09/KEPDK/ PI.II/ VII-2017 dated July 14, 2017 regarding the Update/ Stipulation of the Charter of Audit Committee, Risk Management Monitoring Committee, Nomination Remuneration Committee of PT Pelabuhan Indonesia II (Persero). The Charter contains provisions that must be complied with in the establishment and implementation of Nomination and Remuneration Committee's activities so that they can work independently, objectively, independently, transparently, and can be accounted for.
