STRUCTURE AND MECHANISM OF CORPORATE GOVERNANCE
CODE OF CONDUCT IMPLEMENTATION AND ENFORCEMENT EFFORTS
In order to realize the Company's commitment to stakeholders, all Pelindo People are committed to:
- Always think and behave in a corporate manner by prioritizing the interests of the Company above personal and/or group interests and to provide the best for the Company;
- Always care and maintain the good image and reputation of the Company;
- Carry out duties professionally with full responsibility and uphold integrity, honesty, and the spirit of togetherness;
- Care and respond to customer/business partner complaints and immediately follow up in accordance with applicable regulations;
- Have a strong motivation to develop themselves and expand their knowledge and are willing to share knowledge and skills as well as help other co-workers without fearing competition;
- Always be commendable as an individual and a member of the community and not commit any disgraceful act that could degrade the Company's image;
- Avoid all actions that may violate the provisions and or abuse authority;
- Carry out religious worship adhered to by each Pelindo People properly, and understand and comply with ethics and behavior; and
- Work in accordance with the principles of Good Corporate Governance.
As an embodiment of the above commitments:
- All Pelindo People are required to sign the Integrity Pact and the Code of Conduct Pledge, which are the commitments of Pelindo People to implement the Code of Conduct that is updated every year;
- The Code of Conduct must be socialized and understood by Pelindo People;
- Integrity Pact, Promises of Code of Business Ethics Guidelines and Statements of Conflicts of Interest of the Board of Commissioners and Directors are made and signed in one copy and kept in the Corporate Secretary;
- The Integrity Pact and the Code of Conduct Pledge are drawn up and signed in one copy and stored at the Head Office Corporate Secretary and in the HC Department of each Port Branch as well as the Subholding and Subsidiary Corporate Secretary;
- Work units at the Head Office (Department Head of Institutional Relations, Governance, Investors), Regional (Department Head of Human Capital and General Affairs), subholdings and Subsidiaries (SVP of Corporate Secretary) monitor, make reports and recapitulate employees who sign the Integrity Pact in their respective working area every year, to then be submitted to Group Head Corporate Secretary of PT Pelabuhan Indonesia (Persero); and
